1. Acceptance of our Terms

Welcome and thank you for your interest in Skilto.com ("Skilto"). Skilto is the exclusive property of the Skilto Sprl, registered at the Banque Carrefour des Entreprises de Belgique with the identification number 838 263 409 and located at 41 Avenue Louis Lepoutre, 1050, Bruxelles, Belgium, Hereinafter referred to as “Us” , “We”, or “Skilto”. The Terms of Use have to be considered jointly with our Privacy Policy. Skilto provides a collection of online resources and services, including without limitation providing an online presence for Users to view and post their services, which includes customizable profiles , classified ads, forums, and various email services, (referred to as "the Service") subject to the Terms of Use ("Terms"), which may be updated by Skilto at any time. Skilto will provide notice of significant changes to the Term by posting this notice on the Skilto website. In addition, when using particular Skilto services, you agree to abide by any applicable posted guidelines for all Skilto Services, which may change from time to time. Should you object to any term or condition, any guidelines, or any subsequent modifications thereto or become dissatisfied with Skilto in any way, your only recourse is to immediately discontinue use of Skilto. Skilto has the right, but is not obligated, to strictly enforce the Terms of Service and other Skilto Policies through self-help, community moderation, active investigation, litigation and prosecution. All references to “you” or “your,” as applicable, mean the person that accesses, uses, and/or participates in the Website in any manner. If you use the Website or open an Account (as defined below) on behalf of a business, you represent and warrant that you have the authority to bind that business and your acceptance of the Terms of Use will be deemed an acceptance by that business and “you“ and “your” herein shall refer to that business.

2. Website Description

a. Skilto is not a middleman to any Agreement between Users

The site is an online community only, designed for the unique purpose of putting people who want to find help in touch with people who have a service to offer. We never intervene in the transaction between the Users. Skilto cannot thus be considered part of any agreement between members of the Site. Skilto exercises no control over the quality, safety or legality of services provided, or over the truthfulness or accuracy of the Profiles, or over the ability of Users to provide a service, or over the ability of Users to pay for the Services. We do not guarantee that the Parties will complete any or all terms of the transaction. Your interactions with organizations and/or individuals found on or through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You agree that Skilto shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that Skilto is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release Skilto, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service.

b. Public v. Private Areas

The Site contains an area open to the public and a private area accessible only by Members. The public area allows access to the Users’ Profiles. The private area is the part of the site that is accessible only after Member authentication. Members must enter his/her password to enter the private area. The private area allows Members to: Access personal information (see Privacy Policy); Create and manage their Profile Publish comments; Send and receive emails Provide access to collaboration tools; and Invite their friends or clients to join Skilto.

3. Privacy and Information Disclosure

By using this website, you acknowledge and agree that Skilto may, in its sole discretion, preserve or disclose your Content, as well as your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: comply with legal process; enforce these Terms; respond to claims that any Content violates the rights of third-parties; respond to claims that contact information (for example phone number, street address) of a third-party has been posted or transmitted without their consent or as a form of harrassment; protect the rights, property, or personal safety of Skilto, its users or the general public.

4. Content

You understand that listings, messages, comments, recommandations, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated. More specifically, you are entirely responsible for all Content that you upload, email or otherwise make available via the Service. You understand that Skilto does not control, and is not responsible for Content made available through the website, and that by using the website, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. Furthermore, the Skilto site and Content available through the website may contain links to other websites, which are completely unrelated to Skilto. Skilto makes no representation or guarantee as to the accuracy or authenticity of the information contained in any such site. Your linking to any other websites is at your completely own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will Skilto be liable in any way for Content or for any loss or damage of any kind incurred as a result of the use of any Content listed, emailed or otherwise made available via the Service. You acknowledge that Skilto does not pre-screen or approve Content, but that Skilto will have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the spirit of the site or the Terms or for any other reason. You agree that the Service contains Content specifically provided by Skilto or its partners and that such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by all copyright notices, information, and restrictions contained in any Content accessed through the Service. You shall not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from, or otherwise exploit any Content or third party submissions or other proprietary rights not owned by you, (i) without the consent of the respective owners or other valid right, and (ii) in any way that violates any third party right. You may, to the extent the Sites expressly authorize you to do so, download or copy the Content, and other items displayed on the Sites for download, for personal use only, provided that you maintain all copyright and other notices contained in such Content. You shall not store any significant portion of any Content in any form. Copying or storing of any Content for other than personal, noncommercial use is expressly prohibited without prior written permission from Skilto, or from the copyright holder identified in such Content's copyright notice.

5. Conditions of Registration and Membership Status

Our services are reserved to persons lawfully capable, individuals who are at least 18 years old and can form legally binding contracts under applicable law. If you are under the age of 18, but at least 16 years old, you may use the Website on a limited basis, subject to such restrictions as Skilto may deem appropriate in its sole discretion. If you do not comply with these conditions, you cannot use our services.

In connection with your license to access and use the Website, including, without limitation, setting up your Account or offering Services (being a “Service Provider”) you acknowledge and agree that you shall comply with the following policies, regardless of whether you have created an Account. If you do not comply with these conditions, you cannot use our services. In addition, we reserve the right to suspend or close Member Accounts without notice for any reason, including, but not limited to:

Violation the Terms of Use, or other Skilto Policies ; Inability to identify, verify or authenticate the origin of a Service Provider; Making false statements; Diffusion of confidential, illegal or offensive content (For example, pornography, libel, trade secrets, discriminatory content, incitement of violence and racial, religious or ethnic hatred); Breaches in moral standards; Copy or distribute any part of the Website in any medium without Skilto's prior written authorization. Use, copying or diffusion of copyright protected works without express authorization ; Abusive or fraudulent use of collaboration tools (spam of comments, spam of clicks etc); Diffusion of unsolicited commercial messages (“Spam”) Use any automated system, including but not limited to, “robots,” “spiders,” “offline readers,” “scrapers,” etc., to access the Website for any purpose without Skilto's prior written approval or in any way that transmits more request messages to the Skilto servers, or any server of a Skilto subsidiary or affiliate, in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser; provided, however, that the operators of public search engines may use spiders or robots to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such material. Skilto reserves the right to revoke these exceptions either generally or in specific cases. Not take any action that (i) unreasonably encumbers or, in Skilto’s sole discretion, may unreasonably encumber the Website’s infrastructure; (ii) interferes or attempts to interfere with the proper working of the Website or any third-party participation in the Website; or (iii) bypasses Skilto’s measures that are used to prevent or restrict access to the Website. You agree not to collect or harvest any personally identifiable data, including without limitation, names or other Account information, from the Website, nor to use the communication systems provided by the Website for any commercial solicitation purposes. You affirm that you are at least 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in the Terms of Use; OR if you are not at least 18 years of age, you affirm that you are at least 16 years of age and that you understand the terms, conditions, obligations, affirmations, representations, and warranties set forth in the Terms of Use, and have parental consent to use the Website in accordance with the Terms of Use. You will not hold Skilto (including its parent company, Skilto Sprl, its officers, directors, agents, subsidiaries, joint ventures or employees) liable for claims, demands or damages (actual and consequential) of any kind for the closing of a Member Account. The Member Account is personal and cannot be transferred to a third party. The member commits to keep confidential the password he or she chooses for accessing his or her Member Account. The Member Account and the password are personal and cannot be shared, communicated or transferred to any other individual or entity, except as required by law. Member shall not (i) select or use as a Company User ID a name of another person with the intent to impersonate that person; (ii) use as a Company User ID a name subject to any rights of a person other than you without appropriate authorization; or (iii) use as a Company User ID a name that is otherwise offensive, vulgar or obscene. The member recognizes and accepts being solely responsible for use of his password and Member Account. The Member accepts being held solely responsible for all consequences and obligations generated by use of his/her password and Member Account by a third party. The member recognizes and accepts as well that the site can consider usage of his Member Account, username or password as proof of the usage of the Site by this Member. All usage of the Site by way of these elements attributable to the Member are considered as being made by the Member. All evaluations, ratings information and comments are also specific to the Member. Any change of your personal information requested when creating and completing a Member account must be declared to Skilto within 8 days of the change. Registration of a Member Account implies, in particular, to provide a valid email address that will be used to communicate between the Member and the Site, and will be used as the unique identifier for the Member Account. All email communications sent by the Site to the Member is understood as having been received by the Member, who takes full knowledge thereof. In addition, the Service Provider accepts to provide a physical address, which is required by Skilto upon creating a "profile", in order to make the best usage our of the geolocalization tools. In order to maximize trust, the adress of the Service Provider may be displayed within the account, however this can be changed in the Account Settings ("My Skilto").

6. Conduct

You shall not upload, post, transmit, transfer, disseminate, distribute, or facilitate distribution of any content, including text, images, video, sound, data, information, or software, to any part of the Website, including but not limited to your profile (“Profile”), the posting of a message, the posting of your desired Service (“Request”), or the posting of any opinions or reviews (“Recomendations”) in connection with the Website, the Service, the Service Provider, or the Service User (all of the foregoing content is sometimes collectively referred to herein as “Submitted Content” and the posting of Submitted Content is sometimes referred to as a “Posting” or as “Postings”): That harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability That impersonates any person or entity, including, but not limited to, a Skilto employee, or falsely states or otherwise misrepresents your affiliation with a person or entity That includes personal or identifying information about another person without that person's explicit consent That is false, deceptive, misleading, deceitful, misinformative, or constitutes "bait and switch" That infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or Content that you do not have a right to make available under any law or under contractual or fiduciary relationships. That constitutes or contains "affiliate marketing," "link referral code," "junk mail," "spam," "chain letters," "pyramid schemes," or unsolicited commercial advertisement. That constitutes or contains any form of advertising or solicitation if (1) posted in areas of the Skilto sites which are not designated for such purposes; or (2) emailed to Skilto users who have requested not to be contacted about other services, products or commercial interests That includes links to commercial services or web sites, except as allowed in "services" That advertises any illegal services or the sale of any items the sale of which is prohibited or restricted by applicable law, including without limitation items the sale of which is prohibited or regulated by Belgian law - a partial list of these is provided for your convenience That contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment That disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Service, or that otherwise negatively affects other users' ability to use the Service; or That employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Service. Additionally, you agree not to: Contact anyone who has asked not to be contacted "Stalk" or otherwise harrass anyone Collect personal data about other users for commercial or unlawful purposes Use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Service - exception is made for internet search engines (e.g. Google) Post non-local or otherwise irrelevant Content, repeatedly post the same or similar Content, or otherwise impose an unreasonable or disproportionately large load on our infrastructure Post the same item or service in more than one classified category or forum, or in more than one metropolitan area; or Attempt to gain unauthorized access to Skilto's computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or the Skilto website.

7. Member safety and feedback

As a participant in the Website you shall be careful, prudent, and use good judgment when leaving Feedback for another user. The following actions constitute inappropriate uses of Feedback: (a) threatening to leave negative or impartial Feedback for another user unless that user provides services not included in the original Posting or not agreed to as part of the Service to be provided; (b) leaving Feedback in order to make the Service Provider appear better than he or she actually is or was; and (c) including conditions that restrict a Service Provider or a Service User from leaving Feedback.

  1. Sanctions for Inappropriate Use of Feedback. If you violate any of the above-referenced rules in connection with leaving Feedback, Skilto, in its sole discretion, may take any of the following actions: (i) cancel your Feedback or any of your Postings; (ii) limit your Account privileges; (iii) suspend your Account; and/or (iv) decrease your status earned via the Feedback page.
  2. Resolving Disputes in Connection with Feedback. In the event of any dispute between users of the Website concerning Feedback, Skilto shall be the final arbiter of such dispute. Further, IN THE EVENT OF ANY DISPUTE BETWEEN USERS OF THE WEBSITE CONCERNING FEEDBACK, SKILTO HAS THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO REMOVE SUCH FEEDBACK OR TAKE ANY ACTION IT DEEMS REASONABLE WITHOUT INCURRING ANY LIABILITY THEREFOR.

User reviews do not reflect the views of Skilto, its affiliates, employees, officers, directors or shareholders, and Skilto does not assume responsibility for any review or for any claims, damages or losses resulting from any review.

8. Notification of Claims of Infringement

If you believe that your work has been copied in a way that infringes copyright, or your intellectual property rights have been otherwise violated, please notify Skilto for notice of claims of copyright or other intellectual property infringement, via email at info@skilto.com.

Please provide our representatives with the following Notice:

  1. Identify the copyrighted work or other intellectual property that you claim has been infringed upon;

  2. Identify the content on the Skilto site that you claim is infringing, with enough detail so that we may locate it on the website;

  3. A statement by you that you have good reason that the disputed use is not authorised by the copyright owner, its agent, or the law;

  4. A statement by you declaring (a) the above information in your Notice is accurate, and (b) that you are the owner of the copyright interest involved or that you are authorised to act on behalf of that owner;

  5. Your address, telephone number, and email address; and
  6. Your physical or internet/electronic signature.

Skilto will remove the infringing listing(s).

9. Fees and Payment

Skilto reserves the right to require payment of fees for certain features of the Service. Should you elect to subscribe to such features, you shall pay all applicable fees, as described on the Sites in connection with such features. Skilto reserves the right to change its price list and to institute new charges at any time, upon ten (10) days prior notice to you, which may be sent by email or posted on the Sites. Use of the Service by you following such notification constitutes your acceptance of any new or increased charges. From time to time and in its sole discretion, Skilto may offer special promotions (“Special Promotions”) to Registered Users and other users of the Website, such as referral discounts or other incentive bonuses. All Special Promotions shall be subject to these Terms of Use, including without limitation, the above-referenced Fee Policy and all restrictions, guidelines, and regulations set forth herein.

10. Liability of Skilto

a. Disclaimer of warranties You agree that use of the Site and the Service is entirely at your own risk. The Site and the Service are provided on an "as is" or "as available" basis, without any warranties of any kind. All express and implied warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights are expressly disclaimed to the fullest extent permitted by law. To the fullest extent permitted by law, Skilto disclaims any warranties for the security, reliability, timeliness, accuracy, and performance of the Site. To the fullest extent permitted by law, Skilto disclaims any warranties for other Services or goods received through or advertised on the Site or the Sites or Service, or accessed through any links on the Site. To the fullest extent permitted by law, Skilto disclaims any warranties for viruses or other harmful components in connection with the Site or the Service. Some jurisdictions do not allow the disclaimer of implied warranties. In such jurisdictions, some of the foregoing disclaimers may not apply to you insofar as they relate to implied warranties. b. Limitations of Liability Under no circumstances shall Skilto be liable for direct, indirect, incidental, special, consequential or exemplary damages (even if Skilto has been advised of the possibility of such damages), resulting from any aspect of your use or the Skilto Site or the Service, whether the damages arise from use or misuse of the Skilto site or the Service. Such limitation shall also apply with respect to damages incurred by reason of other services or products received or advertised in connection with the Skilto site or the service or any links on the Skilto site, as well as by reason of any information or advice received through or advertised in connection with the Skilto Site or the Service or any links on the Skilto site. These limitations shall apply to the fullest extent permitted by law. In some juridiction, limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitation may not apply to you

11. Limitations and termination on service

You acknowledge that Skilto may establish limits concerning use of the Service, including the maximum number of days that Content will be retained by the Service, the maximum number and size of postings, email messages, or other Content that may be transmitted or stored by the Service, and the frequency with which you may access the Service. You agree that Skilto has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that Skilto reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that Skilto shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

12. Termination on service

Skilto may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your membership. If you wish to terminate your account, you may do so by following the instructions on the Sites. Any fees paid hereunder are non-refundable. All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

13. Indemnity

You agree to indemnify and hold Skilto, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content you submit, post or make available through the Service, your use of the Service, your violation of the Terms, your breach of any of the representations and warranties herein, or your violation of any rights of another.

14. Geolocalization and Privacy

One of the many valuable features of Skilto is to be able to search locally for a Service Provider using geolocalization tools. The Google Maps tool uses an arrow to roughly show where the Service Provider Location is. This arrow will pinpoint the location with an approximation of several meters.

15. Usage of external applications

Usage of the application Google Maps is subject to implicit acceptance of the Terms and Conditions for Google Maps (http://maps.google.com/help/terms_maps.html). Information on the maps obtained via Google is offered as indications only. Usage of the Facebook Connect application is subject to implicit acceptance of the Terms and Conditions for Facebook (http://www.facebook.com/terms.php) Usage of the Skype application is subject to implicit acceptance of the Terms and Conditions for Skype (http://www.skype.com/legal/)

16. Proprietary rights

Skilto is protected to the maximum extent permitted by copyright laws and international treaties. Content displayed on or through the Service is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of the Sites or the collective work is prohibited. Copying or reproducing the sites or any portion thereof to any other server or location for further reproduction or redistribution is prohibited. You further agree not to reproduce, duplicate or copy Content from the Service, and agree to abide by any and all copyright notices displayed on the Service. You may not decompile or disassemble, reverse engineer or otherwise attempt to discover any source code contained in the Service. Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any aspect of the Service. Skilto is a registered mark in the Patent and Trademark Office. Although Skilto does not claim ownership of content that its users post, by posting Content to any public area of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to Skilto an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute said Content and to prepare derivative works of, or incorporate into other works, said Content, and to grant and authorize sublicenses (through multiple tiers) of the foregoing.

17. No agency relationship

Skilto and Members or Users are independent parties, each acting in its name and for its own purpose. Nothing in this Terms of Use or other Skilto Policies shall be deemed to constitute, create, give effect to or otherwise recognize a partnership, agency, joint venture or formal business entity of any kind or create a fiduciary or similar relationship among the parties; and the rights and obligations of the parties shall be limited to those expressly set forth herein.

18. User’s control over personal information

Skilto has made a declaration to the Commission of Privacy Protection concerning the storage and treatment of personal information related to the Users. All users have a right to access, modify, correct, and delete any of their personal information, a right which can be used at any time via: : Skilto Sprl, 41 Avenue Louis Lepoutre, 1050 Bruxelles, Belgique.

19. Additional Conditions

Skilto is not responsible for interactions between members. Skilto is not responsible for the Content resulting from its text messaging services. Members of the site can be individuals or professionals. The titles of the different articles of the Terms of Use are given as pure indications without necessarily defining their content. You accept that the rights and obligations contained in the present Terms of Use as well as any other documents that are incorporated to it by way of reference may be freely and rightfully transferred by Skilto to a third party in the event of a merger or acquisition or of another event. In any case, by using the site, you commit to comply with all national and international laws and regulations currently applicable to the use of our services and to your activities on the site. In addition, you recognize specifically and accept that your usage of the site may be qualified as a business in a legal sense. As a business, you are subject to certain specific obligations, such as, and without limitations, registering the business, keeping books and accounting records in compliance with applicable regulations, payment of sales taxes and other applicable taxes, as well as legal dispositions in case of insolvency. In addition, if you have commercial activities on the site, and in particular if you are a professional user, you have to comply with the regulations relative to billing, invoicing, sales, and more generally to all commerce laws and regulations. We recommend you to look for advice from a professional counselor or attorney on these matters. No derogation to the present Terms of Use will be authorized, unless a written authorization is obtained and a new contract is signed by you and Skilto. All notifications at your attention will be sent to the email address you provided when signing up to Skilto. Messages and notifications are considered received 24 hours after the email has been sent, unless we receive a notification stating that the email address is not valid or functioning.
